Two contracts at once: what's actually allowed
Last updated:
Nothing in UK law stops your company holding multiple engagements — and parallel work is the strongest IR35 evidence that exists: a genuinely in-business operation with several clients can't be disguised employment for any of them.
The four checks before you sign the second one
- Exclusivity clauses: many contracts ban "competing engagements" — read for scope (time? sector? client list?)
- Capacity honesty: two full-time attendances can't both be honest; overlap works when engagements are deliverable-scoped (e.g. 3 days + advisory 2 days)
- Conflict of interest: direct competitors = declarable, usually walking
- Insurance: PI policy must cover aggregate exposure across engagements
The IR35 upside
Multiple simultaneous clients demonstrate in-business status so strongly that tribunals rarely find employment against them. If your pipeline supports it, structuring as one 3-day + one 2-day engagement beats one 5-day exclusive for both status and risk diversification. Check every engagement's own facts — checklist per contract, not a global label.
Finally, disclose nothing you don't have to: exclusivity clauses are rare outside PAYE, but check each contract before you sign the second engagement.
Structuring the split
The workable parallel pattern is asymmetric: one anchor engagement (3–4 days, deep focus, longer term) plus advisory or review work (1–2 days, deliverable-based, async). What doesn't work is two 5-day attendances — physically impossible and legally dishonest. Price the split properly: advisory days typically command a premium over delivery days precisely because they're scarce in your calendar. And mind the calendar mechanics — overlapping notice periods, holiday clashing across clients, and PI cover sized for combined turnover. Done well, the diversification beats any single-contract security: losing one of two clients halves the hit instead of ending the income.
